1. Definitions
1.1 "Domesty" means Domesty Technologies Limited, a company incorporated in Nigeria, the operator of the Platform.
1.2 "Platform" means the Domesty website at domesty.co, the Domesty mobile applications, and related services and APIs.
1.3 "User" means any person using the Platform, including Customers and Service Providers.
1.4 "Customer" means a User who posts Tasks or requests services on the Platform.
1.5 "Service Provider" means a User who offers or delivers services on the Platform across any of the service categories supported by the Platform.
1.6 "Task" means any job, service, or request posted on the Platform by a Customer, irrespective of category. References to a Task in these Terms apply equally to all service categories supported on the Platform.
1.7 "Offer" means a Service Provider's bid or proposal to perform a Task at a stated price and on stated terms.
1.8 "Approved Task" has the meaning given in the Insurance Policy.
1.9 "Free Plan" means the default Domesty user plan with a 10% service fee per Task, subject to the Fee Cap.
1.10 "Pro Plan" means the Domesty Pro subscription tier with a 5% service fee per Task, subject to the Fee Cap and the Monthly Discount Cap, and additional benefits set out at /pricing.
1.11 "Service Fee" or "Platform Fee" means the per-Task fee charged by Domesty for use of the Platform, equal to 10% for Free Plan users and 5% for Pro Plan users of the Task value, subject to the Fee Cap. 1.11aa "Monthly Discount Cap" means the maximum total reduction in Service Fees that a paid plan will confer on a party in a single calendar month, where Domesty has set one for that plan. Once the cap is reached, Service Fees on that party’s further Tasks that month are charged at the Free Plan rate, subject to the Fee Cap. The cap resets at the start of each calendar month and the Service Fee applicable to a Task is displayed before payment. 1.11a "Fee Cap" means the maximum Service Fee chargeable to a party on a single Task, where Domesty has set one for that party’s plan. Where a Fee Cap applies, the Service Fee is the lesser of the percentage above and the Fee Cap. The Service Fee applicable to a Task, including the effect of any Fee Cap, is displayed before payment.
1.12 "Auto-Release Period" means the two (2) day period beginning when a Service Provider requests payment for a completed Task on the Platform, after which funds in escrow are automatically released to the Service Provider unless the Customer has confirmed completion or raised a dispute.
1.13 "Verified User" means a User who has satisfied Domesty's KYC and verification requirements applicable to the User's role and category.
1.14 "Penalty Charge" means a charge applied by Domesty against a User for breach of these Terms, including but not limited to circumvention, fraudulent activity, or repeated cancellations.
1.15 "Insurance Policy" means the Domesty Insurance Policy published at /insurance-policy and the underlying Cornerstone Schedule.
1.16 "NAICOM", "FCCPC", and "NDPR" mean the National Insurance Commission of Nigeria, the Federal Competition and Consumer Protection Commission, and the Nigeria Data Protection Regulation, respectively.
2. Eligibility
2.1 You must be at least 18 years old and legally capable of entering into binding contracts under Nigerian law to use the Platform. By creating an account, you confirm that you meet these requirements.
2.2 You must not be subject to any sanctions or restrictions that would prohibit your use of the Platform under applicable law.
2.3 You must not have been previously suspended or terminated from the Platform, save where Domesty has expressly reinstated your access in writing.
2.4 Where a service category is regulated under Nigerian law (including but not limited to electrical work, plumbing, gas-fitting, security, healthcare, legal advice, and financial services), Service Providers must hold and maintain the licences, registrations, and insurances required to perform that work, and must produce evidence on request.
2.5 Domesty may request verification information at any time and may suspend or restrict access where verification requirements are not met.
3. Account Registration and Verification
3.1 To use the Platform, you must register an account using a valid email address or a supported third-party authentication provider (Google, Facebook). You are responsible for the accuracy of the information you provide.
3.2 As part of account onboarding and at points during your use of the Platform, you may be required to complete identity and address verification. Domesty uses third-party providers (currently Dojah for identity, liveness, and government-data checks, and Twilio for one-time-password delivery via WhatsApp) to perform these checks. You consent to the sharing of the verification data you provide with these processors strictly for the purposes of verification, fraud prevention, and compliance.
3.3 You must keep your account credentials confidential and must not share your account with any other person. You are responsible for all activity carried out under your account.
3.4 You must not create more than one account, register on behalf of another person without authority, or impersonate any person or entity. Where multiple accounts are detected, Domesty may consolidate, restrict, or close any or all of them.
4. User Responsibilities
4.1 Provide accurate, current, and complete information at registration and at all times thereafter.
4.2 Maintain the confidentiality of your account credentials and notify Domesty immediately if you suspect unauthorised access.
4.3 Comply with all applicable Nigerian and local laws and regulations.
4.4 Use the Platform only for legitimate and lawful purposes and only for the role for which you have registered.
4.5 Cooperate with Domesty's verification, audit, and dispute-handling processes.
5. Nature of the Platform
5.1 Domesty operates a marketplace that connects Customers with Service Providers across a range of service categories. Domesty does not itself provide the underlying services and does not employ Service Providers. Domesty's role is limited to providing the Platform, facilitating connections, processing payments through escrow, supporting dispute handling, and providing the limited insurance arrangements described in the Insurance Policy.
5.2 Service Providers act as independent contractors. Nothing in these Terms creates any partnership, joint venture, or employment relationship between Domesty and any User.
5.3 Customers engage Service Providers directly. Domesty is not a party to the underlying service contract between Users, regardless of the service category. Where a Task involves the Service Provider taking possession of a Customer's property, transporting goods, providing access to an item, hiring out equipment, or any other category-specific activity, the rights and obligations between the Customer and the Service Provider in respect of that activity (including condition records, deposits, returns, late charges, damage, and loss) are matters for those Users to agree and document between themselves through the Platform. Domesty is not a party to those arrangements.
6. Posting Tasks, Offers, and Completion
6.1 Customers must post Tasks with clear and accurate descriptions, including scope, budget (which must meet any minimum Task value Domesty publishes for the relevant country, applied both when the Task is posted and when an offer is accepted), schedule (ASAP, on a specific date, daily, weekly, monthly, or flexible), location (in-person, remote, or any), and any media or documents necessary for a Service Provider to assess the work.
6.2 Service Providers may submit Offers in response to a posted Task. An Offer must reflect the Service Provider's genuine ability and willingness to perform the Task at the stated price and within the stated time.
6.3 A binding agreement is formed between the Customer and the Service Provider on these Terms when the Customer accepts an Offer through the Platform and the Customer's payment is confirmed into escrow.
6.4 The Service Provider must complete the Task with reasonable care and skill, in accordance with the Task description, applicable law, and any licences, certifications, or safety standards that the work requires.
6.5 The Customer must make the agreed Task value available in escrow at the point of acceptance and must not unreasonably withhold confirmation of completion where the Task has been performed in accordance with the Task description.
6.6 A Task may move through the following states on the Platform: created, accepted, ongoing, paused, completed, cancelled, or disputed. Where a Task is paused or disputed, escrow funds remain held until the cause is resolved.
6.7 Where a Task involves possession of a Customer's property by a Service Provider, or involves a Service Provider making an item available for the Customer's possession or use, the Users involved are responsible for recording the condition of the property at handover and return, agreeing any deposit, return time, and damage liability in writing through the Platform, and producing that evidence in any dispute. Domesty may take such records into account in handling disputes but is not a party to those arrangements.
7. Reviews and Ratings
7.1 After a Task is completed, both parties may submit a rating (1 to 5 stars) and a written review of each other through the Platform. A Task can only be reviewed once it is completed, and each party may leave one review per Task, which they may later update; ratings cannot be stacked to influence a User's score. Ratings and reviews are visible on public profiles and contribute to a User's overall standing on the Platform.
7.2 Reviews must be honest, factual, and based on the actual experience of the rated transaction. Reviews must not contain personal data of third parties, threats, hate speech, or commercial promotions.
7.3 Domesty does not edit reviews but may, at its discretion, remove reviews that contravene these Terms, are subject to a credible defamation complaint, or are determined to be retaliatory or fraudulent.
7.4 Domesty does not endorse or verify any individual review or rating beyond confirming that it was submitted by a User who participated in the underlying transaction.
8. Payments and Fees
8.1 All payments must be made through Domesty's escrow system. Off-platform payments are strictly prohibited and void all Platform protections.
8.2 Service Fees. Domesty charges a Service Fee on each Task to both the Customer and the Service Provider, based on each party's plan: 10% of Task value for Free Plan users and 5% of Task value for Pro Plan users. Where Domesty has set a Fee Cap for a plan, the Service Fee charged to that party on a single Task will not exceed the Fee Cap. Where Domesty has set a Monthly Discount Cap for a paid plan, the total Service Fee reduction conferred on a party in a calendar month will not exceed that cap; further Tasks that month are charged at the Free Plan rate, subject to the Fee Cap. Fee Caps, Monthly Discount Caps and percentages may be varied under clause 8.6, and the Service Fee applicable to a Task is displayed before payment. 8.2a Part Payments. A Customer may release part of the Task value to the Service Provider before completion. Each release is a separate bank transfer, so Domesty may set a minimum amount per part payment and a maximum number of part payments per Task; these are displayed at the point of release. Any such limit never applies to the final release, so the balance held in escrow can always be released in full. Amounts released cannot be recovered, and only amounts still held in escrow are available for refund.
8.3 Payment Processors. Card and bank-transfer payments are processed by Flutterwave and Paystack. By using the Platform you accept the applicable payment processor's terms in respect of your transactions.
8.4 Currency. The Platform operates primarily in Nigerian Naira (₦). Where transactions are conducted in another currency, foreign-exchange and processor charges may apply and are disclosed at checkout.
8.5 Escrow and Release. Funds for a Task are held in escrow and released to the Service Provider when (a) the Customer confirms completion through the Platform, or (b) the Auto-Release Period of three (3) days has elapsed from the Service Provider's request for payment and the Customer has neither confirmed completion nor raised a dispute. Where a dispute is raised within the Auto-Release Period, the funds remain in escrow until the dispute is resolved under section 10.
8.6 Subscriptions. Pro Plan subscriptions are billed in advance on a recurring basis at the cadence selected at sign-up (weekly or monthly). Subscriptions auto-renew at the end of each billing period unless cancelled before renewal. You may switch between weekly and monthly billing at any time from /profile/plan; the change takes effect at your next renewal, with your current cycle continuing until then and no immediate charge. You may cancel at any time from /profile/plan, in which case access to Pro Plan benefits continues until the end of the current paid period, after which the account reverts to the Free Plan. Subscription fees are non-refundable except where required by law.
8.7 Provider Payouts. Released funds are paid out to a Service Provider's verified bank account, typically immediately on release of the escrow for a Task. Payout failures arising from incorrect bank details are the User's responsibility.
8.8 Penalty Charges. Domesty may apply Penalty Charges for breach of these Terms, including but not limited to circumvention, repeated last-minute cancellations, fraudulent KYC, and chargebacks made in bad faith. The basis for a Penalty Charge will be communicated to the affected User.
8.9 Withholding. Domesty may withhold or reverse payments where there is evidence of fraud, breach of these Terms, or a valid dispute.
8.10 Tips. A Customer may choose to add an optional tip for a Service Provider, which must be processed in-app. So that the Service Provider receives the full tip, the payment-processing fee on the tip (a small percentage, shown before you confirm) is added to the amount and paid by the Customer. Domesty charges no Service Fee on tips.
9. Cancellations and Refunds
9.1 Customer Cancellations
Customers may cancel a Task at any time before an Offer is accepted at no charge, as payment is only taken into escrow when an Offer is accepted.
9.2 Refund Deduction
Where a cancellation qualifies for a refund after a Service Provider has been assigned, Domesty refunds the amount you paid for the Task, less a non-refundable deduction of 5% that covers payment-processing and handling costs that cannot be recovered. This deduction does not apply where a refund is required in full by law, or where the cancellation is due to Domesty's error or the Service Provider's non-performance under section 9.4, in which case the Customer is refunded in full.
9.3 Cancellations After Assignment
Where a Task is cancelled after assignment, refunds follow the fixed, transparent policy set out in this section and in section 9.7. If the Service Provider cancels at their own fault, or fails to perform under section 9.4, the Customer is made whole and refunded in full. Where the Service Provider had already begun work and incurred genuine, evidenced costs on a Customer-initiated cancellation, Domesty may hold back a limited portion of the Customer's refund to compensate the Service Provider for those costs; any portion not awarded on review is refunded to the Customer. A Service Provider who cancels at their own fault may incur a capped cancellation fee, deducted from their next payout, together with a strike on their account.
9.4 Provider Non-Performance
If a Service Provider fails to perform, abandons a Task, or materially breaches the agreement, Domesty may cancel the Task and may withhold or reallocate funds. Where the Customer has paid in full but received no service, the non-refundable Service Fee will be waived and the full Task value refunded, unless the Customer's own conduct caused the non-performance.
9.5 Refund Method and Timing
Approved refunds are returned to the original payment method within ten (10) business days of approval. Where the original payment method is unavailable, Domesty will agree an alternative refund method with you.
9.6 Fees and Finality
All fees, deductions, and adjustments are applied before any refund is issued. Domesty's determination on cancellations and refunds is final, save for Users' rights under applicable consumer-protection law.
9.7 Payment-Processing Cost on Refunds
When a payment is refunded, the payment-processing and handling costs already incurred on the original payment cannot be recovered. A non-refundable deduction of 5% of the amount paid is therefore applied to refunds. This deduction does not apply where a refund is required in full by law, or arises from Domesty's own error or a Service Provider's non-performance under section 9.4.
10. Dispute Resolution
10.1 Users are expected to attempt to resolve disputes directly through Platform messaging before escalating.
10.2 If a dispute cannot be resolved directly through Platform messaging, either User may refer the dispute to Domesty by submitting a ticket at /profile/tickets or at hello@domesty.co.
10.3 On referral, both parties should promptly provide evidence (communications, photographs, condition records, financial documentation). Domesty may also draw on Platform records, including time-stamped messages, mark-as-complete events, and KYC records.
10.4 Domesty aims to issue a determination promptly, and typically within fifteen (15) business days of receiving the evidence. Domesty's determination on the release of escrow funds and the application of any Penalty Charge is final and binding for the purposes of fund release on the Platform.
10.5 Insurance disputes. Disputes about insurance coverage and settlement are handled by Cornerstone Insurance PLC under the Insurance Policy. Users may escalate unresolved insurance disputes to the NAICOM Complaints Bureau.
10.6 Consumer-protection rights. Nothing in this section limits any User's right to escalate a complaint to the FCCPC or to pursue rights under applicable consumer-protection legislation.
11. Insurance and Risk Allocation
11.1 Domesty has put in place limited platform-level insurance for certain Approved Tasks, underwritten by Cornerstone Insurance PLC under Quotation Reference Q443742. The full terms, including modules, limits, excesses, approved categories, and exclusions, are set out in the Insurance Policy.
11.2 Insurance is available only on Approved Tasks where coverage has been activated. Coverage activation requires either an active Pro Plan subscription that includes insurance for the relevant module or a successfully purchased per-Task insurance add-on within the activation window. Coverage applies only to the categories listed in the Insurance Policy. Free Plan Tasks are not eligible for insurance unless the per-Task add-on is purchased. Coverage is void for off-platform payments and for Tasks outside the defined territory.
11.3 Service Providers remain responsible for the services they deliver. Customers remain responsible for verifying the suitability of Service Providers. Failure to comply with Platform rules, including off-platform payments, subcontracting outside the Platform, or inadequate documentation, may invalidate any insurance-related claim.
11.4 Users are not automatically insured parties and must not assume that any loss will be covered. Refer to the Insurance Policy for the conditions and exclusions that apply, including the categories that are not currently insured.
12. Off-Platform Circumvention
12.1 The Platform's commercial model depends on transactions taking place on the Platform. To protect that model and the protections it gives Users (escrow, dispute resolution, insurance eligibility, ratings), Users agree to the following.
12.2 Users must not exchange personal contact information (including phone numbers, email addresses, social-media handles, or messaging-app identifiers) within Platform messaging for the purpose of moving any Task, Offer, or payment off the Platform.
12.3 Users must not solicit, encourage, or accept off-platform payment, contact, or engagement for any Task or service that originated on the Platform.
12.4 For a period of twelve (12) months from the date a Customer and a Service Provider are first connected through the Platform (whether through a posted Task, an accepted Offer, or in-app messaging), the parties must transact any further engagement between them through the Platform. This applies whether or not the original Task was completed.
12.5 Domesty may use automated and manual review of in-Platform messaging to detect circumvention. Suspected breach may result in any combination of: removal of the offending message, restriction of messaging features, charge of a circumvention Penalty Charge equal to the Service Fee that would have been earned, account suspension, and termination.
12.6 Nothing in this section prevents Users who knew each other independently of the Platform from continuing that relationship outside the Platform, provided the Platform was not the source of the engagement in question.
13. Prohibited Activities
Users must not:
13.1 Post illegal, misleading, harmful, or deceptive content.
13.2 Post Tasks for services, items, or activities that are unlawful, that require a licence the User does not hold, or that violate any third-party right.
13.3 Engage in harassment, discrimination, hate speech, or abusive conduct toward any other User or Domesty staff.
13.4 Bypass or attempt to bypass the Platform's payment, escrow, or verification systems.
13.5 Submit false reviews, ratings, claims, KYC information, or insurance claims.
13.6 Operate multiple accounts, share accounts, or impersonate another person or entity.
13.7 Scrape, crawl, or extract Platform data through automated means, or interfere with the operation of the Platform.
13.8 Upload content that infringes the intellectual property, privacy, or other rights of any third party.
13.9 Use the Platform to launder funds, finance terrorism, or evade tax or sanctions.
13.10 Content moderation and strikes. Domesty screens the text you submit and the images you upload using automated and manual review, and may block content when you submit it, or remove it afterwards (including removing an uploaded image automatically). Certain breaches, including deliberate content or image violations and repeated cancellations, add a strike to your account. Reaching three (3) active strikes within any 90-day period, or excessively cancelling committed Tasks (five (5) or more cancellations within any 90-day period), results in a temporary suspension, as described in the Community Guidelines. You can view and appeal strikes from the Penalties page in your profile.
Domesty may suspend or terminate accounts and apply Penalty Charges for any of the foregoing.
14. Intellectual Property
14.1 All Platform content, branding, software, and materials are owned by Domesty or its licensors and are protected by intellectual-property laws. No right or licence is granted to you except the limited licence to access and use the Platform set out in these Terms.
14.2 You retain ownership of the content you submit (Task descriptions, photos, reviews, profile content). You grant Domesty a worldwide, royalty-free, sublicensable, transferable licence to host, store, display, reproduce, modify (only for formatting, cropping, watermarking, and display purposes), and distribute that content for the operation, promotion, and improvement of the Platform, and to comply with legal or regulatory obligations. This licence survives termination of your account in respect of content already submitted, save where you have a legal right to require deletion.
14.3 Notice and Takedown. If you believe content on the Platform infringes your intellectual-property rights, send a written notice to hello@domesty.co including: (a) identification of the work claimed to be infringed; (b) the location of the allegedly infringing material on the Platform; (c) your contact details; (d) a statement of good-faith belief that use is unauthorised; and (e) a statement under penalty of perjury that the information is accurate and that you are authorised to act for the rights-holder. Domesty will review notices, may remove or disable access to the material pending review, and operates a repeat-infringer policy.
15. Limitation of Liability
15.1 Domesty provides a technology platform only and does not guarantee the quality, safety, or legality of services provided by Users.
15.2 To the maximum extent permitted by law, Domesty is not liable for any loss, damage, injury, or dispute arising from services provided by Users or the actions or omissions of any User, including in respect of any property of a Customer in a Service Provider's possession or any item made available by a Service Provider for a Customer's use.
15.3 Subject to section 15.4, Domesty's total aggregate liability to any User in any twelve-month period is limited to the greater of (a) the total Service Fees paid to Domesty by that User in the twelve months preceding the claim, and (b) ₦100,000.
15.4 Nothing in these Terms limits or excludes liability that cannot be limited or excluded by law, including liability for fraud or fraudulent misrepresentation, gross negligence, death or personal injury caused by Domesty's negligence, or infringement by Domesty of any User's intellectual-property rights.
15.5 Domesty is not liable for indirect, consequential, or incidental loss, loss of profit, loss of business, loss of goodwill, or loss of data, save where such liability cannot be excluded by law.
16. Indemnity
16.1 You agree to indemnify and hold harmless Domesty, its officers, employees, and agents from and against any losses, claims, damages, and reasonable legal costs arising out of or in connection with (a) your breach of these Terms, (b) your breach of any law or third-party right in connection with your use of the Platform, (c) any Task or service performed or received by you, and (d) any content you submit to the Platform.
16.2 Domesty will notify you promptly of any claim subject to this section and will allow you, at your cost, to assume control of the defence and settlement, save that Domesty may participate at its own cost and that no settlement may impose any obligation or admission on Domesty without its prior written consent.
17. Account Suspension and Termination
17.1 You may close your account at any time through your account settings. When you close your account it is anonymised rather than left in place: your name is masked as “Deleted User”, your email address is released so it can be reused, and your personal details, photo and portfolio are removed, while content you contributed and records Domesty is required to keep are retained but no longer identify you. See the Delete Policy and the Privacy Policy for detail.
17.2 Domesty may suspend, restrict, or terminate accounts where these Terms are breached, fraudulent or harmful activity is suspected, or risk or compliance concerns arise. Where reasonably possible, Domesty will give notice and an opportunity to remedy. Domesty may act without prior notice where necessary to protect Users, the Platform, or third parties, or to comply with law.
17.3 Effect on in-flight Tasks. Where an account is suspended or terminated while a Task is in progress: (a) the Customer with funds in escrow will be refunded the Task value less any portion already earned by the counterparty; (b) the Service Provider will be paid any portion already earned, less any Penalty Charge or amounts subject to dispute.
17.4 Appeals. A User may appeal a suspension or termination by emailing hello@domesty.co within thirty (30) days of the action. Domesty will review the appeal and respond within fifteen (15) business days.
17.5 Data retention after termination follows the Domesty Privacy Policy and applicable data-protection law.
18. Tax
18.1 You are responsible for the assessment, declaration, and payment of any taxes (including income tax, value-added tax, withholding tax, and any social-security contributions) arising from your use of the Platform.
18.2 Domesty is not your employer and does not withhold income tax or operate payroll. Where Domesty is required by law to withhold tax or to provide tax information to a regulator, Domesty will do so and will notify you where appropriate.
18.3 Service Providers and other Users earning above the applicable Nigerian tax-registration thresholds are responsible for registering with the Federal Inland Revenue Service or relevant State Internal Revenue Service and complying with the resulting filing obligations.
19. Force Majeure
Domesty is not liable for any failure or delay in performance of these Terms caused by events outside its reasonable control, including acts of God, natural disasters, epidemics or pandemics, war, civil unrest, government action, network or power outages, payment-processor failures, or third-party service failures. Where such an event materially affects the Platform, Domesty will use reasonable efforts to mitigate and to communicate with affected Users.
20. Privacy and Data Protection
20.1 Use of the Platform is subject to the Domesty Privacy Policy, which describes the personal data Domesty collects, how it is processed, shared, and retained, and the rights you have under the Nigeria Data Protection Regulation (NDPR) and the Nigeria Data Protection Act 2023.
20.2 Your rights include the right to access, rectify, and erase your personal data, and to object to or restrict certain processing, subject to the conditions in the Privacy Policy and applicable law.
20.3 Where Domesty processes your data through third-party processors (including Dojah, Twilio, Resend, Flutterwave, Paystack, Cloudinary, Anthropic, and analytics providers), it does so under data-processing arrangements consistent with applicable law.
21. Electronic Communications
21.1 By creating an account, you consent to receiving communications from Domesty by email, in-app notification, SMS, and WhatsApp (including one-time passwords and transactional messages). You may opt out of marketing communications through your account settings or any unsubscribe link, but you cannot opt out of essential transactional and security communications while you maintain an account.
21.2 Standard messaging or data charges from your network provider may apply.
22. Notices
22.1 Notices to Domesty must be sent to hello@domesty.co. Formal legal notices must additionally be sent in writing to Domesty Technologies Limited at its registered office in Lagos, Nigeria.
22.2 Domesty will give notices to Users by email to the address on file, by in-app notification, or by posting on the Platform. Notices are deemed received on the day of sending or posting.
23. Changes to Terms
23.1 Domesty may update these Terms from time to time.
23.2 Domesty will give at least thirty (30) days' notice of material changes that adversely affect Users by email and on the Platform. Non-material changes (clarifications, typographical fixes, references) take effect on posting.
23.3 Continued use of the Platform after changes take effect constitutes acceptance. Users who do not accept material changes may close their account before the changes take effect; closure does not extinguish liabilities accrued before closure.
24. Governing Law and Jurisdiction
24.1 These Terms, the use of the Platform, and any non-contractual obligations arising out of or in connection with them are governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
24.2 The parties submit to the exclusive jurisdiction of the courts of Lagos State, Nigeria, in respect of any dispute arising out of or in connection with these Terms, save that Domesty may bring proceedings in any jurisdiction where a User resides or holds assets to enforce a judgment or to seek injunctive relief.
24.3 Nothing in this section limits any User's mandatory consumer-protection rights under applicable Nigerian law, including any right to escalate a complaint to the FCCPC. Insurance-related disputes may additionally be escalated to the NAICOM Complaints Bureau as set out in the Insurance Policy.
25. Miscellaneous
25.1 Severability. If any provision of these Terms is held to be invalid or unenforceable, the remainder continues in full effect and the invalid provision will be replaced by a valid provision that most closely reflects the original intent.
25.2 No Waiver. A failure or delay by Domesty in exercising any right under these Terms is not a waiver of that right.
25.3 Entire Agreement. These Terms, together with the Privacy Policy and the Insurance Policy, constitute the entire agreement between you and Domesty in relation to the Platform and supersede any prior agreement on the same subject.
25.4 Assignment. You may not assign or transfer your rights under these Terms without Domesty's prior written consent. Domesty may assign or transfer its rights to an affiliate or in connection with a corporate reorganisation, merger, or sale of assets.
25.5 Survival. Sections 1, 8, 9, 10, 11, 12, 13, 14, 15, 16, 17.3 to 17.5, 18, 20, 22, 24, and this section 25 survive termination of these Terms or closure of any account.
